Absztrakt (kivonat)
This thesis examines the merger between Vistra Corporate Services and the Tricor group. Two well respected service provider organizations integrated their operations to create an internationally recognized global powerhouse. Through this merger, Vistra achieved its strategic aims of reaching out to new markets, and widening its service portfolio, thereby establishing itself as one of the corporate leaders in both Asia and Europe. This study also examines the effects of a global merger on the functioning of local offices, in this case the Hungarian subsidiary, by examining company performance and reviewing operational strategies. The thesis was carried out with a first-hand interview with an expert in the business field-the Managing Director of the Hungarian Office, access to strictly confidential financial analytics and academic literature research. From both a global and local perspective, the strategic, technical and operational results of the merger are analysed and evaluated. The research found that integrating operations, and combining product services and market presence, created one of the world’s leading corporate service providers with a market presence in over 50 countries spread across the world. Extending, and diversifying, the range and depth of services on offer allowed Vistra to attract an array of new clients and gave the added opportunity to broaden services to existing customers thus facilitating greater market dominance and economies of scale. Added to these benefits, the integration produced cost savings with the elimination of duplicate roles and the opportunity for various financial synergies. Access to, and the ability to lure, new talent was another clear positive outcome. From the Hungarian perspective, the integration strategy was carried out efficiently and effectively. The Headquarters of Vistra consistently provided clear and transparent communication to the local offices at all stages of the merger process. Online platforms provided real time information and town hall meetings were employed to discuss, and answer, any issues which arose. In conjunction with an effective organizational structure, this enabled the local offices to carry out effective decision making and implementation in the appropriate time schedule and overcome any integration challenges or unexpected hiccups. The financial analytics clearly demonstrate an improvement in the performance of the Hungarian Office in a range of indices, showing how successfully they adapted to the merger.
