Absztrakt (kivonat)
This paper deals with the question of how a spin-off from a group of companies affects a medium-sized company location and what changes this has on the economic activity as an independent company. The conditions that led to this corporate decision, the influence they have on the restructuring process and the framework conditions under which the separation process takes place are to be considered with reference to the relevant specialist literature. The main part of the paper compares in detail the company structures and the distribution of tasks before and after the spin-off. The differences found are identified. In an evaluation, potential advantages and opportunities as well as disadvantages and risks are derived from the differences and summarised in an overview. The result is a list of operational fields of action and aspects of action that are of considerable importance for the short and medium-term economic capacity of the young company. Within the analysis of the situation and the company, it becomes clear several times which specific characteristics the spin-off under investigation has. Based on these circumstances, an undifferentiated generalisation of the results is not permissible. Nevertheless, a very important aspect for a successful transformation can be determined on the basis of the investigations. Particularly in the area of small and medium-sized enterprises, the transitioning workforce is of central importance in a comparable process. On the one hand, this concerns the uninterrupted and quality-oriented continuation of the necessary operational tasks in the various specialist areas, especially in departments with low staffing levels. In addition, the workforce is a central carrier of experience and implementation knowledge in the company. The loss of employees and their knowledge limits the ability of the outsourced company to act and perform and thus represents an elementary risk to success. In the present case, bottlenecks can be bridged through cooperation with a sister company. Against the background of the demographic development in Europe and the increasing shortage of skilled workers in Germany, this aspect will become even more important. In this respect, an increasingly central task within restructuring processes of companies of this size must be to win over existing staff for the change process. The active participation of employees in the transformation is an essential building block for a successful continuation of economic activity.
